INTRODUCTION

GUYBET LLC, a domestic limited liability company organized pursuant to the laws of the State of New York, owns, manages and operates the present website (referred to as the “Platform”). The Platform functions as a digital e-commerce service providing its users the ability to purchase digital products consisting of gift cards and mobile game top-ups. The Platform is designed to facilitate the purchase, sale and transfer of such digital products.

 

These Terms and Conditions set forth the terms upon which the Platform is rendered available to Buyers of Products (as defined below). These Terms and Conditions shall govern the order and purchase of Products by Buyers on the Platform.

 

  1. DEFINITIONS

When used in these Terms and Conditions, the capitalized terms listed below shall have the meanings provided, unless the context requires otherwise:

 

“Buyers” shall refer to Users of the Platform engaging in the purchase of one (1) or more Products on the Platform.

 

“Dispute” shall refer to any dispute, claim, controversy or disagreement between a User and GUYBET arising out of these Terms and Conditions or a breach thereof.

“GUYBET” shall refer to GUYBET LLC, a domestic limited liability company whose registered address is located in the State of New York (United States). For reference purposes, GUYBET owns, manages and operates the Platform.

 

“Order” shall refer to a request to purchase one (1) or more Products placed by a Buyer on the Platform.

 

“Privacy Policy” shall refer to the latest version of the Platform’s Privacy Policy, as may be amended or updated by GUYBET from time to time.

 

“Products” shall refer to all digital products listed as available for purchase on the Platform. Products may include, without limitation, gift cards, mobile game credits and top-ups.

 

“Terms and Conditions” shall refer to the latest version of these Terms and Conditions, as may be amended or updated by GUYBET from time to time.

 

“Users” shall refer to all users of the Platform, including Buyers, and “User” shall refer to an individual user of the Platform. For interpretation purposes, all references to Users shall be deemed to include Buyers.

 

  1. APPLICATION OF THESE TERMS AND CONDITIONS

These Terms and Conditions set forth the terms upon which Users are granted access to the Platform. The present Terms and Conditions shall apply to all Users, including Buyers, who access and/or otherwise use the Platform.

 

These Terms and Conditions shall be applicable and binding upon Users’ initial access and use of the Platform. Upon using the Platform in any way, Users shall be bound and governed by these Terms and Conditions. Users shall be bound by these Terms and Conditions, in full, as though they manually signed them.

 

Any use of the Platform by Users shall be construed as their acceptance of these Terms and Conditions. If any User does not agree with these Terms and Conditions, the sole recourse is to cease using the Platform.

 

  1. BINDING AGREEMENT

These Terms and Conditions constitute a binding and enforceable contract between GUYBET and Users. GUYBET shall not be bound by any terms or policies, except for the present Terms and Conditions and any policies of GUYBET and named herein. These Terms and Conditions shall be deemed to include any other policies implemented by GUYBET, including the Privacy Policy.

 

  1. UPDATES TO THESE TERMS AND CONDITIONS

GUYBET may update these Terms and Conditions, as well as any related policies, at any time and at its sole discretion. The latest version of these Terms and Conditions shall be made available on the Platform. The effective date as well as the date of their latest update shall be specified in these Terms and Conditions.

 

The updated Terms and Conditions shall be binding as of the date specified in the header. Any use of the Platform by Users following the publication of an update shall be deemed acceptance of the updated Terms and Conditions.

 

GUYBET shall attempt to notify Users prior to making significant changes to these Terms and Conditions, however, GUYBET is unable to guarantee that Users shall be notified of updates to these Terms and Conditions in advance. To remain current and compliant with the latest version, GUYBET recommends that Users periodically review these Terms and Conditions.

 

  1. ELIGIBILITY TO USE THE PLATFORM

Use of the Platform is subject to the following eligibility requirements. To access or use the Platform, all Users must:

 

  • Be at least eighteen (18) years of age.
  • Agree to use the Platform in strict compliance with all applicable laws, regulations and orders.
  • Hold the legal capacity and authority required to enter into binding agreements.
  • Not have been barred from accessing or using the Platform pursuant to any applicable law or a judicial decision.
  • Not be subject to any limitations or restrictions that would prevent, restrict or limit their right to use the Platform.
  • Not reside in any country subject to applicable U.S. trade sanctions or embargoes and/or any country deemed by the United States to be restricted. Additionally, Users must not have been named on any national or denied-party list issued by the U.S. government.

 

  1. ACCOUNTS ON THE PLATFORM

 

To purchase Products on the Platform, Buyers must create an account on the Platform. Buyers shall be required to provide personal or private information for their accounts. Such information may include, without limitation, the Buyer’s full name, email address, phone number and country of residence.

 

  • Provision of Personal Data

 

Buyers shall ensure that any personal data provided in their accounts is accurate, true, complete and current to the best of their knowledge. Buyers shall be responsible for updating any personal data that has become outdated, expired or no longer applicable.

 

All personal data shared by Buyers for purposes of their accounts on the Platform shall be collected, managed and handled according to the Privacy Policy, and GUYBET’s use thereof shall comply with applicable data protection and privacy laws.

 

  • Account Security

Accounts on the Platform shall be secured by a password. Buyers shall ensure their passwords remain confidential and private. If a Buyer has any reason to believe their account may be subject to a security breach or compromised password, the Buyer shall immediately notify GUYBET to report the issue and take appropriate steps to secure the account, which may include resetting the password or temporarily suspending access. GUYBET shall not be responsible for any loss or damage arising from unauthorized access resulting from the Buyer’s failure to maintain the confidentiality of their login credentials.

 

Buyers shall be liable for all acts, content, and omissions arising out of their accounts. Buyers shall not engage in unacceptable use of their accounts, and agree to comply with the obligations contained in these Terms and Conditions.

 

  1. IDENTITY VERIFICATION
  • KYC Verifications

As a condition to access and use the Platform, Buyers shall be required to undergo identity verification in compliance with GUYBET’s Know Your Customer (KYC) procedures. GUYBET has implemented KYC processes to ensure compliance with applicable laws and manage security considerations.

 

Buyers acknowledge that GUYBET may proceed with the verification and confirmation of the Buyer’s identity. Such KYC and ID verification may be performed by a third party. The designated third party service provider may collect information from the Buyer, including any identification. GUYBET reserves the right to entrust the KYC verifications of Buyers to any third party service provider, at any time and without prior notice, at GUYBET’s discretion.  

 

Buyers shall be required to submit the following information and documentation to GUYBET or GUYBET’s designated representative upon request: a valid government-issued photo identification document (such as passport or national identity card) and contact information, which may consist of a verifiable email and phone number.

 

To further validate the Buyer’s identity and for purposes of facial verification, Buyers shall submit a live selfie picture, during which the Buyers shall hold a physical copy of their identification document(s).

 

In certain cases, proof of address such as a recent utility bill, bank statement, or other acceptable documentation may be required to validate the Buyer’s identity, address or contact information.

 

  • Anti-Money Laundering Initiatives

Through the KYC verifications, GUYBET further intends to ensure Buyers are not listed on various watchlists and reporting agencies.

 

In compliance with state and federal laws, and to ensure the safety and security of all Users as well as the security of transactions conducted on the Platform, GUYBET shall verify Buyer identities. In addition to the KYC verification and service, GUYBET may further retain certain personal information provided by Buyers, in accordance with the Privacy Policy.

 

To comply with all applicable anti-money laundering (AML) and counter-terrorism financing legislation, GUYBET may need to obtain, verify, and record identifying information about Buyers. In fulfilling its legal and regulatory obligations, GUYBET or its designated representative may request sensitive and personal information. Additionally, Buyers understand that GUYBET may lawfully obtain information from other sources.

 

By accessing and using the Platform, Buyers hereby authorize GUYBET to conduct verifications and investigations, on its own or through an authorized third-party provider, for purposes of identity verification. In addition, Buyers authorize GUYBET to conduct inquiries to verify and validate the information shared by Buyers. GUYBET reserves the right to request or obtain additional information to verify Buyer identities through third-party databases or other sources.

 

  1. TERMINATION OF ACCOUNTS

Buyers may terminate or suspend their accounts on the Platform at any time. The process for terminating or suspending accounts on the Platform shall be detailed on the Platform.

GUYBET reserves the right to terminate or suspend an account on the Platform if the account holder has: (i) breached these Terms and Conditions, (ii) violated applicable laws, (iii) engaged in unlawful conduct, including but not limited to fraudulent behavior, abuse of promotions, or chargeback abuse, or (iv) engaged in conduct that GUYBET determines, in its sole discretion, to be harmful to the Platform, other Users, or GUYBET as a business. GUYBET may also terminate an account if such action is deemed necessary by GUYBET to comply with applicable laws, regulatory requirements, or to protect the security and integrity of the Platform.

 

If a Buyer’s account is terminated by GUYBET, the Buyer agrees to waive any remedies or claims the Buyer may have or had against GUYBET arising out of the account termination. The Buyer further agrees to release GUYBET from all liability in connection with the terminated or suspended account.

 

  1. PRODUCTS

The Products sold on the Platform shall consist of digital products only. No physical products shall be sold on the Platform, unless otherwise indicated.

 

  • No Affiliation

Unless otherwise specified, the Platform and GUYBET are not affiliated with the vendors of the Products. GUYBET does not endorse any of the Products, unless explicitly specified. GUYBET makes no representations and provides no guarantees with respect to (i) the effectiveness, quality and/or performance of the Products; (ii) their compliance with any applicable laws or regulations; or (iii) the accuracy or completeness of any descriptions or representations provided by the Product vendors.

 

Purchases of Products and use thereof shall be at the Buyers’ sole risk. GUYBET, being unaffiliated with the Products, is unable to provide any warranties or guarantees with respect to the Products. Any issues arising out of the effectiveness, quality and/or performance of the Products shall be resolved exclusively between Buyers and the relevant Product vendor.

Buyers acknowledge and agree that the inclusion of any Product links or descriptions on the Platform shall not imply GUYBET’s endorsement or any association with such Products.

A Buyer’s usage of the Products shall be subject to the terms and policies put in place by the applicable Product vendor.

 

  • Nominative Fair Use

GUYBET is permitted to publish the logos, brand names, names and images of the Products and the Product vendors, while not having any affiliation with such Products and vendors, to allow Users and Buyers to properly identify the Products. The publication of the Products and Product vendors’ logos, brand names, names and images constitutes nominative fair use, as identified and described in United States trademark laws. The publication of such logos, brand names, names and images shall allow Users to identify the Products and Product vendors.

 

  1. BUYERS
  • Buyer Warranties

 To be eligible to purchase Products listed on the Platform, each Buyer provides the following warranties and representations to GUYBET:

 

  • The Buyer is not a party to any contract, arrangement, legal obligation or other duty that would prevent the Buyer from placing Orders for Products.
  • The payment information provided by the Buyer is accurate, complete and owned by the Buyer.
  • The Buyer has the required funds to satisfy the payment for the Orders placed.
  • The Buyer acknowledges that the Platform does not offer any warranties with respect to the Products, except for those explicitly set forth in these Terms and Conditions.
  • Buyer Responsibility

 

Buyers understand that GUYBET shall not be responsible for Buyers’ inability to use the Products and/or the Platform due to failure of their own equipment, device or otherwise due to their fault or negligence.

 

Buyers shall be responsible if the Products purchased are not usable due to a Buyer error, such as a typographical error made within the Order.

 

  • Assumption of Risks

To the fullest extent permitted under applicable law, Buyers knowingly and voluntarily agree to assume all risks associated with purchasing Products via the Platform. Buyers confirm to GUYBET that they have assessed the risks associated with the purchase of the Products and voluntarily chosen to place the Order.

 

  • Use of the Products

Buyers shall comply with all applicable laws and these Terms and Conditions with respect to the purchase. Buyers shall use the Products ordered in accordance with their intended purpose and the relevant instructions. Buyers may not use the Products for any other purposes, except with the consent of the applicable Product vendor.

 

  1. LISTINGS

The Platform may feature Listings to describe the Products available for sale.

 

GUYBET may, without liability, delete any Listing if the Products subject thereto are prohibited, or if the Listing does not comply with these Terms and Conditions. GUYBET may also remove any Listings that constitute duplicates of existing Listings.

 

Considering Products are offered by third party vendors, GUYBET cannot guarantee that the descriptions and images shall be accurate as these shall emanate from the vendors. GUYBET does not provide any guarantees as the suitability and integrity of the Listings. GUYBET shall not be liable for any errors, issues or losses caused by inaccurate or incorrect Listings published on the Platform. 

 

  1. PRODUCT DELIVERY

Upon GUYBET’s receipt of payment for an Order, the Products ordered shall be delivered instantly. GUYBET shall handle the immediate digital delivery of the Products ordered.

No physical goods are sold, and no shipping or physical delivery services are provided. Users acknowledge and agree that all purchases are for electronically delivered items only.

 

  1. PAYMENTS
  • Buyer’s Payment Information

Orders shall be paid in advance by Buyers, prior to the delivery of the Products ordered. Buyers’ payment information shall consist of their credit card on file, debit card, online wallet (such as MMG in Guyana and Paymaster in Jamaica), bank transfers or other form of payment as authorized by GUYBET. GUYBET may use a third-party processor to process payments of Orders.

 

By providing payment information to place an Order, Buyers acknowledge that the third-party processor retained by GUYBET may store their payment information.

Buyers may either: (i) add funds to their internal wallet held on the Platform through their accounts, by using their wallet balance, or (ii) checkout when placing an Order directly using their payment information without preloading the wallet.

 

GUYBET reserves the right to refuse to process an Order if the payment information is invalid, unusable or otherwise unacceptable.

 

Further, if Buyers unlawfully withdraw funds or institutes a chargeback following the Order confirmation, GUYBET may cancel the Order, terminate the relevant Buyer’s account on the Platform and/or report the incident to authorities.

 

  • Taxes

Buyers shall be responsible for verifying the price of the Order placed prior to making the corresponding payment. Unless otherwise indicated, the fees for Products are exclusive of any taxes and duties. Buyers shall pay the taxes charged in connection with their purchases made on the Platform.

 

GUYBET may collect applicable sales tax if GUYBET is legally obligated to collect such sales tax.

 

  • Chargebacks

Buyers agree to not, directly or indirectly, initiate any chargeback with their financial institution with respect to any payments made in connection with the Platform.

 

  • Risk Management and Mitigation

To safeguard the Platform and promote security for Buyers, GUYBET shall conduct a risk assessment for each Order and is permitted to conduct actions to manage and mitigate risk. To that effect, GUYBET reserves the right to withhold, reverse, or adjust wallet balances in its sole discretion in the event of the Buyer’s: (i) suspected fraudulent activity; (ii) chargebacks or payment disputes; (iii) errors; or (iv) breach of these Terms and Conditions.

 

Such adjustments may be applied with or without notice and may affect pending Orders. Buyers acknowledge and agree that GUYBET shall not be liable for any loss or delay resulting from actions taken by GUYBET for purposes of risk management and mitigation.

 

  • Refund Policy

All Orders placed through the Platform are subject to the Refund Policy. Unless otherwise stated, Orders are final due to the digital nature of the Products sold and the instant delivery thereof.

Notwithstanding the foregoing, GUYBET may, at its sole discretion, offer a full or partial refund in cases where the Product was not delivered or failed to function as intended. Any such refund requests shall be subject to investigation and verification by GUYBET’s support team. Buyers agree to cooperate with GUYBET by providing all requested documents and information in a timely manner to allow GUYBET to perform the necessary investigation and verification.

 

GUYBET reserves the right to reject any refund request that fails to meet the conditions set forth in this Refund Policy or where, in GUYBET’s reasonable opinion, there is evidence of misuse, fraud, or abuse of the refund process.

 

  1. GEOGRAPHIC RESTRICTIONS

GUYBET strives to make its Platform available to Users worldwide; however, access to the Platform may be restricted or unavailable in certain jurisdictions due to legal, regulatory, or operational limitations.

 

It is the sole responsibility of each User to ensure that their use of the Platform complies with all applicable local laws and regulations. By using the Platform, the User represents and warrants that access to and use of GUYBET’s services is permitted under the laws of their jurisdiction. GUYBET shall not be held liable for any violation of local laws resulting from unauthorized access or use of the Platform.

 

  1. INTELLECTUAL PROPERTY AND TRADEMARKS 
  • GUYBET’s Intellectual Property

GUYBET’s trademarks and logos are protected by intellectual property laws, including copyright and trademark laws. GUYBET’s trademarks and logos may not be reproduced or shared without GUYBET’s prior written consent. Users may not use GUYBET’s trademarks and logos for any purpose except to carry out transactions in accordance with the present Terms and Conditions.

 

All intellectual property directly relating to the Platform and GUYBET remains the sole property of GUYBET, and GUYBET is the owner of such intellectual property throughout the world, without limitations of time or space.

 

Any content licensed to GUYBET is the property of its respective owners.

 

Users shall be permitted to copy and print portions of the Platform solely for purposes of buying Products as well as reviewing Products and Listings.

 

  • Third-party Intellectual Property

The Platform may include third-party trademarks, intellectual property and images of the Products. To help identify the Products listed on the Platform, GUYBET reserves the right to publish and share third-party images, trademarks and intellectual property on the Platform. Listings may include logos of the third-parties, even where GUYBET is not affiliated with such third parties, to allow Users to identify the Products associated with such marks.

 

All brand names, logos, trademarks, and gift card values referenced on the Platform are the property of their respective owners. GUYBET acts solely as a distributor and does not claim any affiliation, sponsorship, or endorsement by such brands, unless explicitly stated in writing.

 

In accordance with applicable trademark laws, the publication of the logos of third-party trademarks and intellectual property constitutes nominative fair use.

 

  1. PERMITTED AND PROHIBITED CONDUCT 
  • Compliance with Applicable Laws

Users agree that their use the Platform must comply with all applicable laws, regulations, policies and standards. Any fraudulent, abusive or illegal use of the Platform is strictly prohibited.

 

 

  • Prohibited Conduct

Users are responsible for their actions and omissions while using the Platform. Users shall not engage in prohibited activities. The following constitutes a non-exhaustive list of prohibited activities:

 

 

  • Using the Platform to violate or infringe any applicable law, regulation or policy, including legislation applicable to financial services or consumer protection;
  • Using the Platform in a way that could damage, overburden or impair the Platform in any way;
  • Using the Platform in a way that is fraudulent, malicious, misleading or otherwise discriminatory, or encouraging such use by others;
  • Transmitting a virus or harmful components or scripts on or via the Platform;
  • Disrespecting, harassing, intimidating or bullying Users of the Platform;
  • Encouraging or engaging in multi-level marketing, pyramid schemes, and unlawful recruitment;
  • Publishing, posting, sharing or disseminating defamatory, disparaging, false or otherwise illicit claims or remarks about the Platform and/or GUYBET;
  • Impersonating an individual, entity, business, or company;
  • Using, or reproducing trademarks, patented materials or other intellectual property published on the Platform without the intellectual property owner’s consent and approval;
  • Accessing the Platform by way of illicit or automated means, such as using a bot or a spider;
  • Promoting, distributing, transmitting, selling or providing products or services on the Platform;
  • Collecting personal information about Users of the Platform, without justification and without valid legal justification or required consent;
  • Hacking, decompiling, disassembling, or reverse engineering the Platform or any portion thereof;
  • Exploiting technical bugs, pricing errors, software vulnerabilities, or any other loopholes on the Platform for personal gain;
  • Requesting or initiating chargebacks for sums paid to GUYBET;
  • Intentionally omitting to disclose relevant information to GUYBET;
  • Damaging, destroying, disabling or otherwise impairing the Platform or any portion thereof;
  • Selling, assigning or otherwise transferring an account, without having obtained GUYBET’s prior written permission;
  • Exploiting promotional offers, such as, without limitation, creating multiple accounts to redeem one (1) or more promotions;
  • Engaging in abusive, harassing, or threatening behavior directed toward GUYBET’s customer support staff or resources;
  • Engaging in behavior that is contrary to the intent of these Terms and Conditions, could give rise to liability, damages, costs or expenses for GUYBET.

Users shall be held personally responsible for their failure to comply with these Terms and Conditions, and any standards set by GUYBET. Further, GUYBET may, without liability and without penalty, revoke a User’s right to use the Platform and/or purchase Products if the User violated or attempted to violate any obligation in these Terms and Conditions.

 

GUYBET further reserves the right to investigate any potential violations of these Terms and Conditions, applicable laws, regulations or binding terms. Users shall cooperate with GUYBET during any such investigations.

 

 

  1. PLATFORM CHANGES

 

GUYBET reserves the right to make changes to the Platform, including, without limitation, updating content, removing content and removing or adding Products listed on the Platform.

 

 

Users acknowledge that the information published on the Platform may become outdated from time to time. GUYBET makes no warranties or guarantees regarding the accuracy, validity, currency, or reliability of any content displayed on the Platform. If a User finds any information published on the Platform to be outdated, erroneous or false, the User shall promptly notify GUYBET by email.

 

  1. LINKS TO THIRD-PARTY SITES

 

Users acknowledge that any links to third-party websites or applications provided on the Platform are for reference purposes only. The third-party websites, or applications referenced on the Platform are independent third parties to GUYBET.

 

 

The inclusion of links on the Platform does not imply GUYBET’s endorsement or association with such third-party sites. Additionally, the publication of the links, images, logos, and referrals on the Platform shall not be construed as GUYBET’s affiliation with the same.

 

 

GUYBET shall not be responsible for the accuracy, availability, or content of any third-party websites or applications. The use of the third-party links shall be subject to the third-party’s policies and specific terms, and not the present Terms and Conditions.

 

  1. INDEMNITY

To the fullest extent permitted by law, each User agrees to indemnify and hold harmless GUYBET and its employees, agents, officers, directors and consultants from and against all losses, damages, liabilities, costs and expenses in connection with any claims, actions, proceedings, investigations or suits brought by a third-party, arising out of the User’s (i) use of the Platform and/or the Products; (ii) breach of any agreement or obligation specified in these Terms and Conditions; and/or (iii) false, misleading or incomplete representation or warranty in connection with these Terms and Conditions.

 

  1. LIMITED LIABILITY
  • Accessibility Challenges

Technical issues may block, suspend, terminate or completely prevent access to the Platform. GUYBET shall not be liable for any suspension, termination, service downtime, technical issues, delays or loss of access to the Platform. Further, GUYBET shall not be liable for issues affecting the Platform’s servers, such as unauthorized access to personal data. GUYBET shall not be liable for service interruptions affecting the Platform, delays caused by third-party systems or maintenance.

 

 

Known risks are associated with online activity. GUYBET does not guarantee that technical issues or defects shall be corrected in a timely manner or even corrected at all.

 

 

  • Exclusion of Damages

To the fullest extent permitted by applicable law, GUYBET shall not be liable to Users for any indirect, special or consequential loss or damages arising from the access and/or usage of the Platform, including but not limited to loss of profits, opportunity, revenue, privacy, business or anticipated earnings. This exclusion of liability shall apply even if GUYBET was notified of the possibility of such damages arising.

 

 

  • Force Majeure

GUYBET shall not be responsible for any injury, loss, death, inconvenience, delay, or damage to personal property resulting from a Force Majeure event. Force Majeure events shall consist of acts of God, epidemics, pandemics, illness, disease, strikes, acts of war, civil unrest, insurrection or revolt, strikes or other labor activities, criminal or terrorist activities of any kind, or other circumstances beyond GUYBET’s control.

 

 

If GUYBET shall be delayed or prevented from performing any obligation or act required by these Terms and Conditions by reason of a Force Majeure event, the performance of such obligation or act by GUYBET shall be excused during the Force Majeure event. GUYBET’s obligation may resume once the Force Majeure event has expired, ceased or otherwise terminated.

 

  1. DISCLAIMER OF WARRANTIES

The Platform is provided on an “as is” and “as available” basis, without any warranties, representations, or guarantees of any kind, whether express, implied, or statutory. Without limiting the generality of the foregoing, GUYBET does not warrant that the Platform will be uninterrupted, error-free, secure, or free of defects, omissions, or harmful components.

 

To the fullest extent permitted by applicable law, GUYBET expressly disclaims all warranties and conditions, including but not limited to: (a) implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement; (b) any warranties arising from course of dealing or usage of trade; and (c) any liability for the acts, omissions, or conduct of any third parties on or through the Platform.

 

 

  • No Guarantee of Product Availability

The availability of specific Products, such as gift cards, mobile top-ups, or digital goods, is not guaranteed and may vary based on location, supplier availability, or third-party policy changes. GUYBET reserves the right to modify or discontinue any Listings without prior notice.

 

 

  • Product Quality and Use

GUYBET makes no representations or warranties regarding the accuracy, completeness, or reliability of Product descriptions listed on the Platform. In addition, GUYBET does not provide any guarantees regarding the quality, usability, or performance of the Products sold. Each Product is subject to the terms and conditions imposed by its respective vendor.

 

GUYBET does not provide any guarantees as to universal usability, validity, or expiration timelines of any Products. Usage restrictions, limitations based on location, and expiration terms may or may not be shared on the Platform. It is the Buyer’s responsibility to review such terms prior to purchase.

 

  1. GOVERNING LAW

 

These Terms and Conditions shall be governed by and construed in accordance with the laws of the State of New York (excluding any conflict of laws principle which refers to the laws of another jurisdiction).

 

  1. DISPUTE RESOLUTION AND MANDATORY ARBITRATION

Disputes shall be resolved exclusively by mandatory arbitration, except for those subject to the jurisdiction of the courts, and unless Users opted out of the arbitration process in compliance with these Terms and Conditions.

 

 

  • Jurisdiction of the Courts

Disputes seeking the following shall be brought before the competent courts located in the State of New York: (i) an injunction or equitable relief, or (ii) to enforce any rights granted by these Terms and Conditions.

 

 

  • Opting Out

To opt out of the arbitration process, Users shall send GUYBET a written request prior to creating an account or placing an Order on the Platform. GUYBET shall review the opting out requests, and approve only those which comply with these Terms and Conditions. Any approved opt out requests shall result in Disputes being handled by the competent courts in the State of New York, rather than arbitration.

 

 

  • Good Faith Negotiations

Prior to undertaking any arbitration proceeding, Users shall employ their best efforts to resolve the Dispute amicably by good faith negotiations.

 

 

  • Arbitration Proceedings

If the affected User(s) and GUYBET do not enter into a mutually acceptable settlement, the Dispute shall be referred to arbitration. The arbitration proceedings shall be presided over by one (1) arbitrator, unless the nature of the Dispute requires otherwise. The arbitration award shall be confirmed in writing.

 

 

The arbitration award may consist of the imposition of damages and other relief. The arbitration award shall be final, and unless otherwise specified, not subject to appeal.

 

 

Nothing in these Terms and Conditions shall be interpreted as preventing GUYBET from seeking relief before a court of competent jurisdiction to protect its interests.

 

  • Specifications

 

All arbitration proceedings introduced to resolve Disputes shall be on an individual basis, and not class arbitration. Accordingly, Disputes shall be brought in the User’s individual capacity, and not as part of a class action or another User’s Dispute. A User may not consolidate claims against GUYBET with other Users. Each User further waives their right to a jury trial.

 

 

  1. ASSIGNMENT AND WAIVERS

 

GUYBET may assign all or part of its rights and obligations hereunder to any third-party. Users may not assign all or part of their rights and obligations, except with GUYBET’s prior written consent.

 

No waiver by GUYBET, whether by conduct or otherwise, of any of these Terms and Conditions shall be enforceable, except if such waiver is provided in a duly executed written instrument by GUYBET.

 

  1. NOTICES

Written communications help ensure that requests can be properly tracked and processed by GUYBET. Any notice, consent or other communication required by these Terms and Conditions shall be provided in writing and delivered using any delivery method with proof of receipt to GUYBET’s headquarters, as listed below:

  1. SEVERABILITY

If any provision of these Terms and Conditions is held to be invalid, unlawful, or unenforceable by a court of law, the provision shall be severed from these Terms and Conditions. The remaining provisions shall remain unaffected and in full force and effect.

 

  1. ENTIRE AGREEMENT

These Terms and Conditions, together with any policies named herein, shall constitute the full agreement between Users and GUYBET with respect to the subject matter hereof, and supersede all previous negotiations and agreements between Users and GUYBET regarding the subject matter hereof.
